Objective of the role

 

The incumbent will provide operation legal support either in country or to corporate counsel to protect and create value for our shareholders, our employees, our business and social partners by providing legal services, advice, training and processes that help ensure we safely and responsibly explore, mine, market and exploit our products and our market position. The incumbent will also legally represent the Company in legal matters related to the organization’s business and mandate, from time to time.

 

 

Education & Qualification

 

  • Law degree
  • Admitted as an attorney 
  • Postgraduate qualification in commerce or business administration will be advantageous

 

 

General Knowledge & Experience

 

  • At 10 years’ post articles experience at a reputable commercial law firm or equivalent multi-national in-house experience;
  • General Commercial and Corporate legal experience;
  • Contract negotiation, drafting and implementation experience
  • The ideal candidate will be a commercial lawyer currently working for a well-regarded law firm or in-house legal department.
  • We require a business-minded lawyer with business and commercial acumen - including relating to risk assessment, financial awareness and reputation management.
  • Effective management of work - looking at process management, process improvement, time management, planning, responsive follow-up, completing the job, being proactive, valuing knowledge management.

Role Accountabilities

 

  • Providing professional legal support and advice to the Global Supply Chain function and support the Senior Vice President in material supply chain matters.
  • Provide legal support and advice, and embed in specific project teams, in relation to commercial contracts entered into between the Company and third parties with respect to all global procurement categories, including the drafting of such contracts, negotiation with third party suppliers and expert advice pertaining to any legal, regulatory or compliance issues impacting on such contractual arrangements.
  • Draft contractual documentation in complex construction and power matters and work with internal contract owners to advise on and negotiate contractual documents with counterparties to reflect appropriate risk allocation.
  • Provide proactive advice, and where required, brief and manage external legal advisors to provide advice on matters as necessary.
  • Draft and publish legal procurement frameworks to set standards for procurement contracting and work cross functionally with in country Legal on procurement contracts. 
  • Stay abreast of legal developments and standards in industry, in order to provide expert advice and advise the Company of any potential risks and/or negative impacts associated with such changes.
  • Advise on dispute resolution processes within the procurement contracts. 
  • Draft and publish  contract templates and processes aimed at achieving consistent contracting and mitigating and minimizing the Company’s legal and commercial risk whilst ensuring compliance with applicable laws and regulations.
  • Facilitating compliance with various (local and international) legal requirements affecting the Company.
  • Assessing and advising effectively to minimize and control risks to the Company and ensure that the existing systems, controls and processes remain appropriate and relevant.

 

 

Remuneration

 

As per the AGA salary scales.
