The Opportunity

 

As the Director, Legal & Company Secretary for AngloGold Ashanti's Ghana operations, you will play a pivotal role in driving legal excellence and governance across key business units including the Obuasi and Iduapriem mines, along with five Sustainable Development Units. Reporting directly to the Vice President, Legal West Africa, this leadership role demands a seasoned legal professional to provide strategic legal advice, safeguard the company's interests, and facilitate compliance with complex regulatory frameworks.

Your expert counsel will be central in managing legal risks and supporting sustainable business operations, strengthening AngloGold Ashanti’s position in Ghana’s mining sector. This role offers an excellent pathway to make a significant impact on operational governance, community engagement, and regulatory adherence within a leading global mining company.

 

Role Purpose

 

The primary purpose of this role is to lead and oversee all legal and company secretarial functions in Ghana, providing comprehensive and authoritative legal guidance that supports mine operations and corporate initiatives. By aligning legal strategies with business objectives, you will ensure compliance, effectively mitigate risks, and contribute to the company’s long-term success.

 

Key Responsibilities

 

  • Lead, develop, and manage the Ghana Legal department, fostering a high-performance team environment committed to delivering strategic legal insight.
  • Develop and execute legal service strategies that anticipate and address business needs and emerging legal trends.
  • Create structured business processes for contract reviews and legal advisory services to ensure clarity and consistency.
  • Manage relationships with external legal providers ensuring cost-efficiency and quality of legal services.
  • Ensure alignment of legal processes with the overall Group Legal vision and risk frameworks.
  • Provide strategic guidance and operational oversight to the Ghana Legal team in supporting business units with timely advice and effective risk management.
  • Drive compliance with labour laws, negotiate and manage contracts, and oversee community-related legal matters including land acquisition and compensation.
  • Supervise environmental and health & safety regulatory compliance to uphold AngloGold Ashanti’s sustainability commitments.
  • Consult and coordinate with stakeholders, including senior management and external counsel, on legal responsibilities, regulatory obligations, and dispute resolutions.
  • Coordinate company secretarial duties within Ghana, ensuring all statutory filings and corporate governance policies are meticulously adhered to within defined timelines.
  • Prepare and manage legal budgets, control external legal costs, and explore innovative fee structures for optimum value.
  • Develop and facilitate legal training programs aligned with operational requirements and compliance standards.
  • Provide leadership in labor and employment law matters, including dispute resolution, internal investigations, and policy revisions.
  • Contribute to the development and implementation of country-specific policies, procedures, and reporting aligned with Group standards.
  • Evaluate and recommend strategies for resolving claims, disputes, and litigation with consultation from the Vice President, Legal.
  • Identify and nurture talent within the legal department by setting clear objectives, providing ongoing feedback, and supporting professional development.

 

Candidate Profile

 

To excel in this role, you should have:

  • A qualifying first degree plus an academic qualification in Law.
  • Proven expertise in mining law, environmental regulations, and regulatory compliance relevant to mining operations.
  • Strong analytical skills with an ability to assess complex legal issues and provide pragmatic recommendations.
  • Excellent contract drafting, reviewing, and negotiation capabilities tailored to mining and corporate environments.
  • In-depth knowledge of labour law and experience managing employee relations and compliance within a large operational context.
  • Track record of managing legal teams and external counsel, demonstrating sound judgment and strategic leadership.
  • Exceptional interpersonal skills, with the ability to influence and build relationships at all organizational levels and with external stakeholders.
  • Experience budgeting and controlling legal expenses efficiently, with accountability for internal and external legal spend.
  • Demonstrated commitment to ethical standards, sustainability, and corporate governance.
  • Strong communication skills both verbally and in writing, with an ability to convey legal concepts in an accessible manner.
  • Proactive, dynamic, and capable of leading under pressure while prioritizing multiple priorities.
  • Well-established professional network within the mining industry and legal community.
